These Terms & Conditions ("Terms") govern your use of truing.kynth.studio, the free readiness checker, and any reconstruction engagement you buy (together, the "Service"), operated by Truing, a Kynth Studios product ("Truing," "we," "us," or "our"). By uploading a register, or by paying for an engagement, you agree to these Terms. If you're agreeing on behalf of a firm or an employer, you confirm you have authority to bind it.

The plain-English version
We reconstruct 2026 W-2 box 12 code TT and code TP from the payroll register you send us. One engagement, one payment, priced off your headcount. You get a per-employee workbook, a W-2 import file, a method memo and an exceptions report naming everything the data could not support. Your own preparer reviews the method and signs behind it — we do not file. The rest of this document is the careful version.

Who can engage us
You must be at least 18 and able to form a binding contract.
You are responsible for everything sent under your engagement, including registers supplied by your staff or by your client's bookkeeper.
Send registers only by the route we give you. Tell us promptly at truing@kynth.studio if you think a file went astray.
Give us accurate employer and payroll-system details, and keep them current.

The engagement & acceptable use
You may use Truing only for lawful purposes and in line with these Terms. You agree not to:
Break any law, regulation, or third party's rights;
Send us a register you have no right to send, or that belongs to an employer who has not engaged you;
Repackage our method memo, workbook layout, or occupation-code table as a product of your own;
Resell a single engagement's deliverable as a standalone product or a competing service;
Send files containing malware, or probe, scan or test the security of our systems;
Present the workbook as a filed return, or as the work of a licensed preparer where none has reviewed it — the method memo exists to be read;
Ask us to file a return on your behalf.
We may decline or stop an engagement if the register cannot support a defensible figure, or if the request would produce a return we believe to be wrong.

Your registers & data
You own your registers and everything we produce from them. Truing claims no ownership of the payroll data you send, or of the workbook, W-2 import file and memo delivered back to you.
Licence to us. You grant Truing a limited, non-exclusive licence to store and process the payroll register you send solely to produce the deliverable for that engagement, and for no other purpose.
No shared training. We do not use your register to train models shared across customers, and no AI model takes part in the computation at all.
Your responsibility. You are responsible for having the right to send us the register, including the personal data of the employees in it — names, hours, wages and tips — and for any consent your own client engagement requires.
Retention. We keep the register and the workpaper for the period set out in the Privacy Policy, then delete both. You can ask us to delete sooner.

What Truing is not
Truing is not your tax preparer, your payroll provider, or your lawyer, and nothing here creates that relationship. We produce a computation and the workpaper behind it; the decision to file, and the signature on the return, belong to your preparer. A figure is only ever as good as the register it came from, which is why every engagement ships an exceptions report.

Intellectual property
The method memo, the workbook layout, the reconciliation checks and the Treasury occupation-code table we maintain are owned by Truing and protected by intellectual-property law. You own the deliverable produced for your engagement and may give it to your client and their preparer. These Terms are governed by the laws of the State of New York.
